Terms and Conditions
By signing the Credit Application, the Applicant agrees to the following terms:
1. Credit Approval
Any credit account is provided at the sole discretion of DSH Systems Ltd ("DSH"). DSH may approve, decline, suspend, reduce, or cancel credit at any time without notice.
2. Payment Terms
The Applicant agrees to pay all invoices in full by the due date stated on the invoice or agreed credit terms.
3. Overdue Accounts
If any amount remains unpaid after the due date, DSH may:
Suspend further supply of goods or services;
Cancel any outstanding orders;
Withdraw credit facilities;
Recover all reasonable costs incurred in collecting overdue amounts, including legal fees, collection agency costs, and court costs where permitted by law.
4. Pricing and Taxes
All prices are exclusive of taxes, duties, GST, VAT, sales taxes, import charges, and similar government charges unless stated otherwise. Such charges are payable by the Applicant where applicable.
5. Customer Information and Order Specifications
The Applicant is responsible for providing accurate and complete order information, specifications, measurements, drawings, and requirements.
DSH designs, manufactures, and supplies goods based on the information provided by the Applicant.
DSH is not responsible for errors, delays, additional costs, or unsuitable products resulting from inaccurate, incomplete, or incorrect information supplied by the Applicant.
Please review all quotations, drawings, specifications, order confirmations, and invoices carefully and notify DSH immediately of any errors.
Proceeding with an order confirms that the Applicant has reviewed the order details and accepts responsibility for the information provided.
6. Custom-Manufactured Goods
Many products supplied by DSH are custom-made or manufactured to the Applicant's specifications.
Once production has commenced, orders may not be cancelled, returned, or refunded except where a valid warranty claim applies or where required by applicable law.
7. Delivery
Delivery dates are estimates only. DSH will use reasonable efforts to meet delivery schedules but is not liable for delays outside its reasonable control.
8. Retention of Ownership
Ownership of goods supplied by DSH remains with DSH until all amounts owing by the Applicant have been paid in full.
9. Warranty
DSH warrants its products against defects in materials and workmanship for the applicable warranty period. DSH's liability under warranty is limited to repair, replacement, or refund at DSH's discretion.
10. Limitation of Liability
To the maximum extent permitted by law, DSH's liability in connection with any goods or services supplied shall not exceed the value of the goods or services supplied.
DSH shall not be liable for indirect, consequential, or economic losses, including loss of profit, loss of revenue, or business interruption.
11. Governing Law
These Terms and Conditions are governed by the laws of New Zealand unless otherwise agreed in writing.
Customer Declaration
The Applicant confirms that all information provided in this Credit Application is true and correct and authorises DSH to make credit enquiries, obtain trade references, and conduct credit checks as reasonably required to assess or maintain the credit account.
The Applicant acknowledges that placing an order, accepting delivery, or continuing to trade with DSH constitutes acceptance of these Terms and Conditions.
